Recursion Pharmaceuticals will pay Tempus $42 million over the next three years under a data license agreement. The companies extended their data partnership, first signed in 2023, through November 2029, and replaced discretionary fees that could have totaled $84 million over two years with those committed payments.
Separately, Tempus will pay Recursion $12 million over two years to license Recursion’s TxFM RNA foundation model. Recursion granted Tempus a non-exclusive, worldwide license to the model. “We are thrilled to extend our collaboration with Recursion beyond the initial committed period, demonstrating the ongoing value of this partnership,” said Ryan Fukushima, CEO, Data & Apps at Tempus.
Recursion and Tempus extend data partnership to November 2029
The data license is the original 2023 master agreement, under which Recursion pays Tempus for access to Tempus’s de-identified clinical and molecular records. The amendment keeps Recursion as the licensee and Tempus as the data licensor. The $42 million is Recursion’s committed fee to Tempus, not an investment by Tempus in Recursion.
The TxFM license runs the other way. Tempus is licensing Recursion’s RNA sequencing model for its own use, and paying Recursion for that right. The two contracts sit side by side. They do not reverse who owns the data library.
