Xanadu Secures $300 Million Synthetic Market Program for Growth

Xanadu Quantum Technologies has secured a 300 million at-the-market equity facility with Yorkville Advisors, providing a flexible funding mechanism over the next three years. This less common financing approach will allow Xanadu to issue and sell Class B subordinate voting shares directly, without impacting existing shareholder sales. The company intends to use the proceeds for working capital and to advance its development of fault-tolerant quantum computing systems. “The Program will provide us with efficient and flexible access to capital as we continue scaling and executing on our long-term roadmap,” said Michael Trzupek, Chief Financial Officer of Xanadu, explaining that the objective is to strategically fund growth while maintaining shareholder value.

Xanadu Launches 300 Million At-The-Market Program

Unlike a traditional share offering, this facility does not involve immediate dilution for existing shareholders; all shares will be newly issued by Xanadu as treasury stock. The agreement with Yorkville Advisors (YA II PN, Ltd.) establishes a mechanism for Xanadu to access capital when valuations are favorable, avoiding rigid commitments and maximizing shareholder value. The company anticipates filing a registration statement on Form F-1 with the U. S. Securities and Exchange Commission to facilitate the resale of shares by Yorkville Advisors, ensuring compliance with U.S. securities regulations. This 300 million facility supplements over 500 million in historical funding, enabling Xanadu to accelerate development of its quantum hardware and software, including the open-source PennyLane platform.

The company intends to allocate proceeds towards working capital and general corporate purposes, strengthening its position in the evolving quantum technology field. “Our objective is to strategically and prudently tap the equity market to enable us to remain well-positioned to fund our growth strategy,” Trzupek added, highlighting a commitment to responsible financial management alongside ambitious technological goals. Details of the Standby Equity Purchase Agreement between Xanadu and Yorkville Advisors are available through filings with the SEC and the Canadian Securities Administrators.

Yorkville Advisors Facilitates Equity Issuance via SEPA

Financing quantum technology ventures increasingly relies on novel approaches beyond traditional venture capital, with at-the-market equity facilities gaining traction as a flexible funding mechanism. While conventional initial public offerings and private equity rounds remain common, this type of agreement provides ongoing access to capital based on market conditions, offering a buffer against volatility. Importantly, the program consists “exclusively of treasury offerings,” meaning no current shareholders are selling their holdings, preserving the ownership structure. This contrasts with secondary offerings where existing investors liquidate positions, potentially signaling a lack of confidence. Xanadu will file with the U.S. Securities and Exchange Commission to enable Yorkville Advisors to resell the shares legally. The intention is to strategically utilize the facility, accessing funds when market valuations are favorable, and directing proceeds toward working capital and general corporate purposes. This approach allows Xanadu to maintain financial agility as it progresses toward its ambitious goals in the field of photonic quantum computing, backed by over $500 million in historical funding.

PennyLane Platform & Xanadu’s Fault-Tolerant Quantum Computing

This funding arrives as Xanadu continues to refine its photonic approach, building systems designed to operate at room temperature, a departure from the cryogenic requirements of many competing quantum technologies. Central to Xanadu’s software ecosystem is PennyLane, its open-source quantum computing platform, which facilitates algorithm development and experimentation. Xanadu’s strategy emphasizes a measured approach to capital raising, aiming to tap the equity market to support its growth. The exclusive use of treasury offerings, newly issued shares rather than existing shareholder sales, highlights a commitment to minimizing dilution.
