Quantum eMotion will acquire Plurilock for approximately C$33.8 million in a combination of cash and stock, aiming to expand its commercial quantum and AI cybersecurity platform. The deal provides QeM with Plurilock’s established cybersecurity revenue, hundreds of customer relationships and access to public-sector procurement channels. QeM expects the acquisition to accelerate its transition from technology validation to a broader commercial business, adding an organization with a 25-plus-year operating history. The combined company will be led by QeM’s President & CEO Francis Bellido.
Plurilock Acquisition Accelerates QeM’s Commercial Cybersecurity Transition
The acquisition of Plurilock by Quantum eMotion (QeM) includes an implied premium of approximately 100% to Plurilock’s 20-trading-day volume-weighted average price on the TSX Venture Exchange as of September 25, 2026, signaling QeM’s intent to rapidly expand its commercial footprint in the cybersecurity sector. This premium reflects QeM’s valuation of Plurilock’s established customer base and existing revenue streams, which extend across Canada, the United States and within the NATO alliance.
Plurilock’s 25-plus-year operating history, serving hundreds of public and private sector clients, provides QeM with an immediate pathway to market access that would otherwise require significant time and investment to build organically. QeM’s strategy centers on accelerating the commercialization of its quantum-secure technologies, and the addition of Plurilock’s infrastructure is intended to bridge the gap between technology validation and widespread deployment.
The combined company will focus on identifying priority accounts for pilot programs and cross-selling opportunities, integrating QeM’s technologies into Plurilock’s existing cybersecurity offerings where applicable, the company says. This approach is particularly relevant for customers facing stringent security requirements and navigating complex procurement processes, especially within government and defense sectors. Beyond immediate market access, QeM anticipates using Plurilock’s intellectual property in areas like AI-driven risk analysis, authentication and identity management. The intention is to combine these capabilities with QeM’s quantum-safe cryptographic technologies, creating integrated solutions that address the evolving threat landscape.
This benefit is particularly important as QeM progresses through critical validation processes, including NIST Special Publication 800-90B for its eCore-Q quantum entropy technology and FIPS 140-3 validation for its SecureKey Cryptographic Module. Successful completion of these validations is expected to strengthen QeM’s position in security-sensitive markets, as these standards are widely referenced in government and enterprise procurement.
The deal structure involves a consideration of approximately C$33.8 million, comprised of roughly 30% cash and 70% QeM Shares, designed to provide Plurilock shareholders with both immediate value and continued participation in the combined company’s future growth, according to the company. Plurilock’s board of directors, after receiving a recommendation from a special committee, has determined that the arrangement is in the best interests of Plurilock shareholders and recommends they vote in favour of the acquisition.
The Arrangement, a court-approved plan of arrangement under the provisions of the Business Corporations Act (British Columbia), will see each Plurilock Shareholder receive C$0.084 in cash and 0.0763 of a QeM Share for each Plurilock Share held, resulting in a total consideration of C$0.28 per share. QeM’s President & CEO, Francis Bellido, will lead the combined company, retaining the full QeM team while adding senior Plurilock leaders, Veera Singh and Ian L. Paterson, to executive positions. This strategic move positions the combined entity at the intersection of cybersecurity and quantum-safe security, offering a comprehensive portfolio spanning technology development, commercialization, implementation, and ongoing cybersecurity services.
